1. Eligibility & Account Registration

2. Nature of Services & No Investment Advice

Algocrab provides technology tools to help you design, test, and automate trading strategies. We are not a broker, dealer, investment advisor, or portfolio manager, and we do not provide personalized investment advice, recommendations, or endorsements of any security, strategy, or instrument. All decisions to place trades or invest are solely your own responsibility.

Past performance, backtest results, or simulated returns do not guarantee future results. Trading in securities, derivatives, and other financial products involves substantial risk of loss and may not be suitable for all investors.

3. Use of Platform & Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with all applicable laws, exchange rules, and broker requirements. You agree not to:

Use the Services in a manner that may harm, disrupt, or overload our infrastructure or that of our partners.
Interfere with or attempt to gain unauthorized access to any accounts, systems, or networks connected to the Services.
Reverse engineer, decompile, or attempt to derive the source code of the Services except where permitted by law.
Use the Services to engage in market manipulation, fraud, or any prohibited trading practices.

4. Third-Party Brokers & Integrations

To execute live trades, the platform may connect to third-party brokers or service providers through APIs or other integrations. Such brokers and providers are independent of Algocrab and are governed by their own terms, conditions, and policies. You are solely responsible for reviewing and accepting those terms and for maintaining your broker accounts in good standing.

Algocrab is not responsible for any errors, outages, rejections, or other issues arising from third-party systems, connectivity, or decision-making.

5. Fees, Billing & Refunds

Certain features of the Services may be offered on a paid or subscription basis. Applicable pricing, billing cycles, and payment methods will be communicated to you at the time of purchase or upgrade. By subscribing, you authorize us and our payment processors to charge the specified amounts to your chosen payment method.

Except where required by law or explicitly stated otherwise, all fees are non-refundable. We may modify pricing or fee structures for future billing periods with reasonable prior notice.

6. Risk Disclosure

Algorithmic and discretionary trading involve significant risk, including the possible loss of principal. Market conditions can change rapidly and may render strategies ineffective or cause unexpected slippage and drawdowns. You should carefully consider your financial situation, risk tolerance, and investment objectives before using any automated or algorithmic strategies.

You acknowledge that you are solely responsible for monitoring your strategies, positions, and risk exposure, and for modifying or disabling strategies when you deem it appropriate.

7. Intellectual Property

All rights, title, and interest in and to the Services, including software, user interfaces, trademarks, logos, and content (excluding your own strategies and data), are owned by Algocrab or its licensors. These materials are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

8. Limitation of Liability

To the maximum extent permitted by law, Algocrab and its affiliates, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Services.

Our aggregate liability for any claims arising out of or relating to the Services shall be limited to the amounts you paid to us for the Services during the three (3) months immediately preceding the event giving rise to the claim, or such other minimum amount as may be required by law.

9. Indemnification

You agree to indemnify and hold harmless Algocrab, its affiliates, and their respective officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services, (b) your violation of these Terms, or (c) your infringement of any rights of a third party.

We may update or modify these Terms from time to time. When we do, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction in which Algocrab operates, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction, unless otherwise required by applicable law.
